The essay examines the complex mechanism of tacit prorogation of partnerships contemplated by Article 2273 of the Italian Civil Code, attempting to distinguish the case in point, which consists in the continuation of business operations after the expiry of the time limit, and the legal value, which consists in an automatic effect provided for by law. Emphasising precisely the automaticity of the effect and its independence with respect to the actual will of the partners, it comes to qualify the phenomenon as an extension by law.
