The financial crisis – and the resulting debate – have highlighted a close connection between regulation of the banking properties and corporate governance of banks. In this perspective, the fact that the contestability of banking property has different rules from those of civil law, induced part of doctrine (especially economics one) to consider a functional limitation of banking activity, i.e. towards the overcoming of the model of the “universal bank”, in addition to prefigure even a return to “institutional” theories in the framework of the credit function.
